Oversee communication between management, the board of directors, and shareholders. Prepare the annual report, regulatory filings, and other required communications.
Develop agendas and coordinate the execution of board meetings, general shareholder meetings, and other company committees.
Record meeting outcomes, including drafting minutes and ensuring follow-up on decisions made.
Ensure adherence to principles of good corporate governance.
Uphold the integrity of the company's governance framework and support the board of directors in fulfilling their duties.
Manage and archive corporate documents, including the articles of incorporation, amendments to the articles of association, and other key documents.
Ensure that all corporate documentation is accessible and well-organized.
Prepare and submit reports to regulatory authorities, such as the Financial Services Authority (OJK) or other relevant institutions.
Ensure that all reports are accurately prepared and submitted within prescribed deadlines.
Provide training and education on corporate governance to members of the board of directors and senior management.
Draft or review all agreements and contracts with external parties (including drafting and translating into legal terms) to ensure that the company's legal documents comply with applicable regulations and authorities, and that their legal substance is fully and clearly articulated.
Monitoring developments and advising the Board of Directors on compliance with applicable laws and regulations to ensure that their implementation in the company aligns with the insurance industry and other relevant regulations.
Track the validity of all corporate licenses and permits to ensure that all necessary authorizations are in place and up to date.
Developing the department's work program to ensure that the company's operations comply with legislation and other binding regulations, in coordination with management and all relevant parties.
Qualification:
Bachelor's degree in Law.
At least 3 years of experience in Legal and Corporate Secretary roles, with experience in an insurance company being a plus.
In-depth knowledge of local and international laws and regulations applicable to the insurance industry, including regulatory frameworks and reporting requirements (e.g., OJK regulations).
Proficient in drafting, reviewing, and negotiating legal documents, agreements, and contracts.
Strong ability to manage multiple tasks, meet tight deadlines, and ensure timely submission of reports and regulatory filings.
